Statutes of the association ATSEwith registered office in Vaduz, Liechtenstein1) Name and registered office Name of the association: ATSE Full name: Association of Team Sport Entities Translation: Association for Team Sports Entities An association exists under the name ATSE with its registered office in Vaduz, Liechtenstein, in accordance with Articles 246-260 of the Liechtenstein Persons and Companies Act (PGR). 2) Purpose of the association The association primarily pursues non-economic, idealistic purposes. Ancillary economic activities are permitted, provided they directly serve the association's purpose and any profits are used entirely for this purpose. No commercial business is conducted.
Means to pursue the purpose: a) Provision and management of non-commercial platforms for league organizations, team sports organizations and their athletes, and for virtual leagues and fundraising games; b) Non-commercial services for team sports organizations; c) Establishment of sub-organizations, institutions and purposeful subsidiaries (Obligation to legally, accountingly and tax/financially separate from the association); d) Building up reserves through capital investments in suitable organizations/companies and secure capital investments in precious metal shares and the like; 3) Funds of the association The means of the association to pursue the purpose of the association consist of:
4) Members of the association a) Membership is open to natural and legal persons: 1. Staff members - founding and board members and other key persons; 2. League members – league organizations/companies; 3. Team sports members - team sports organizations/companies; b) Registrations for membership must be submitted in writing (online) to the board and comes into effect provisionally, however the board can reject it with reasons within 4 weeks. c) Membership contributions 1. Team sports members: Contributions made in the course of using the platform; 2. League members: 4% of monthly income, monthly contribution; 3. Staff members: Only voluntary contributions; d) Resignation and exclusion: 1. Team sports members can leave the association at any time provided there are no outstanding debts, league members can leave by dissolving the organization, and staff members can leave at or after they have finished working for the association. 2. The board may expel a member who acts against the interests of the association after a warning, prior notice, and a statement/hearing (14-day period). Expulsion is decided by a majority vote of the board. The member has the right to appeal to the general meeting. 5) Organs of the association The organs of the association are: a) the assembly of members; b) the board of directors; c) the auditors; 6) The assembly of members The assembly of members is the supreme body of the association. In particular, it is responsible for:
7) Convocation of the assembly of members The assembly of members is convened by the board of directors (minimum 14 days before) by resolution of the board of directors and can also be held as an online conference which can take up to 7 days. Membership applications can be submitted up to 7 days in advance. 8) Voting rights and passing of resolutions a) Each member or delegate representing a member has one vote at the meeting of members. Legal entities are represented by one delegate each, with prior notification or change notification to the board. b) It passes its resolutions and conducts elections by simple majority, in special cases with a qualified majority (amendment of the statutes with a 2/3 majority, dissolution/liquidation with a 3/4 majority). 9) The board of directors a) The board may consist of one or more members, who are entrusted with the regular management and representation and are each authorized to sign alone. Financially substantial actions require a board resolution (threshold 4% of the association's assets). b) The Board of Directors may also consist of additional persons (Extended Board of Directors). The powers with which they are entrusted (area of responsibility) must be specified for each of them; each additional board member is authorized to sign alone for their area of responsibility. c) Founding members of the board are appointed for an indefinite term. d) Moreover the board constitutes itself and is authorized to issue organizational regulations. e) Board members can resign at any time in accordance with labor law (notice period). However, the last board member must remain until a replacement can take over. f) The competence of the Board of Directors includes in particular: 1. Preparation of the meeting of the members and execution of the resolutions of the members; 2. Resolution on the possible exclusion of members of the association; 3. Handling of suggestions, applications and complaints from members of the association; 4. Preparation of budget and annual accounts; 5. Management of the association's assets; 6. Activity in relation to the fulfillment of the purpose of the association; 7. Relocation of the company headquarters within the country by board resolution; Furthermore, the board members have all other powers with which they have been entrusted. 10) The auditors If auditors are required by law or if the general meeting of members has determined that auditors are required due to the size of the association, the general meeting of members itself or the board of directors may appoint auditors. These may be one or two natural persons or a legal entity. 11) Liability a) Only the association's assets are liable for the association's liabilities. b) Any personal liability of its members is excluded, except in cases of gross negligence/intentional damage. There is no obligation to make additional contributions; 12) Dissolution, liquidation a) The dissolution of the association can be decided by the assembly of members. b) In case of new establishment / relocation abroad: handover to successor organization; c) In the event of liquidation, any liquidation surplus shall be distributed equally among sports clubs (team sports members). 13) Announcements 1) The association communicates with its members in writing (preferably by email). 2) Announcements can also be made on the association's website. 14) Approval of articles of association, entry into force The Articles of Association were unanimously approved at the founding meeting on February 20th, 2026 and entered into force on this date. | ||||||||||||||||||||||||||||||||
