Statutes of the association ATSE

1) Name and registered office
Name of the association: ATSE
Full name: Association of Team Sport Entities
Translation: Association for Team Sport Entities
An association under Liechtenstein law exists under the name ATSE with its registered office in Vaduz, Liechtenstein

2) Purpose of the association
ATSE is an association without an economic purpose and no commercial business is conducted.
Purpose:
Promoting the importance of exercise and sport, encouraging sporting activity;
Promotion, development and establishment of healthy team sports;
Promotion of team sports, establishment and organization of leagues and sporting events;
The establishment of a new team sports system where all team players can earn at least an additional income.
Establishment of sports facilities and their operation;
Sports club financing;
Support and services for team sports clubs and companies;
Means to pursue the purpose:
a) Establishment of sub-organizations, institutions and subsidiaries as well as participations that may have an economic purpose if this serves the objectives and tasks of the association.
b) Online activities to raise funds such as online sports and online leagues;

3) Funds of the association
The means of the association to pursue the purpose of the association consist of:
Membership fees, sponsorship payments and other voluntary contributions;
Raising funds through online activities;
Income from subsidiaries, affiliates, sub-organizations and institutions;
Zero-coupon bonds, interest-free loans or capital contributions;
Income from the association's assets;

4) Members of the association
Membership is open to natural and legal persons:
• Team sports organizations: Sports clubs and other legal entities;
• Founding members, members of the board, also former board members;
• Persons who support the purpose of the association;
Registration for membership must be made in writing (also possible online) to the Board of Directors

5) Resignation and exclusion
Resignation from the association is possible at any time
The Board may expel a member who acts contrary to the interests of the Association. Expulsion shall be by majority vote of the Board of Directors.

6) Organs of the association
The organs of the association are:
a) the meeting of the members;
b) the board of directors;
c) the auditors;

7) The meeting of the members
The assembly of members is the supreme body of the association. In particular, it is responsible for:
Election and dismissal or confirmation of the President and any other members of the Board of Directors;
Determining whether auditors are required and electing the auditors;
Acceptance of the association's accounts;
Handling and passing resolutions on motions submitted by the Board;
Settlement of complaints or appeals against decisions of the Board of Directors;
Revision of the Articles of Association and resolution on the dissolution of the Association;
The meeting of members shall be chaired by the Chairman of the Board of Directors or, in his absence, by another member of the Board of Directors. The members' meeting shall make the final decision on all matters of the Association;

8) Convocation of the meeting of the members
a) The meeting of members is convened by the board of directors by resolution of the board of directors.
b) The meeting of the members can also be held as an online conference.

9) Voting rights and passing of resolutions
Each member or delegate representing a member has one vote at the meeting of members. It passes its resolutions and conducts elections by simple majority.

10) The board of directors
a) The board may consist of the president and one or two general secretaries who are entrusted with the regular management and representation and are each authorized to sign alone.
b) The Board of Directors may also consist of up to 7 additional persons (Extended Board of Directors). The powers with which they are entrusted (area of responsibility) must be specified for each of them; each additional board member is authorized to sign alone for their area of responsibility.
c) After the board has been appointed at the founding meeting, the board constitutes itself and is authorized to issue organizational regulations. Board members can also be appointed and dismissed by the general meeting of members, but founding members cannot be dismissed and have the right to appoint themselves or a legal representative at any time.
d) Board members can resign at any time in accordance with labor law (notice period). However, the last board member must remain until a replacement can take over.
e) The competence of the Board of Directors includes in particular:
1. Preparation of the meeting of the members;
2. Execution of the resolutions of the meeting of members;
3. Resolution on the possible exclusion of members of the association;
4. Handling of suggestions, applications and complaints from members of the association;
5. Preparation of budget and annual accounts;
6. Management of the association's assets;
7. Activity in relation to the fulfillment of the purpose of the association;
Furthermore, the board members have all other powers with which they have been entrusted.

11) The auditors
If auditors are required by law or if the general meeting of members has determined that auditors are required due to the size of the association, the general meeting of members itself or the board of directors may appoint auditors. These may be one or two natural persons or a legal entity.

12) Liability
Only the association's assets are liable for the association's liabilities. Any personal liability of its members is excluded and there is no obligation to make additional contributions;

13) Dissolution, liquidation
a) The dissolution of the association can be decided by the meeting of the members if at least three quarters of the members are present and it requires the approval of at least two thirds of all members.
b) The liquidation must be carried out in accordance with the purpose of the association.

14) Approval of articles of association, entry into force
The Articles of Association were unanimously approved at the inaugural meeting on May 14, 2024 and entered into force on this date.
